The Company's mission is to be innovative, green and "smart" logistics at the service of its partners with respect and compliance of the Company with all regulations and guidelines, internal rules, procedures, policies, decisions, and others based on the Company's corporate culture and values and respect for all aspects of social responsibility and sustainable business and acting in accordance.

"Smart logistics" is not what the Company is, it is not even a destination that it can reach, but a path that it has chosen to follow, in which it is guided and acts according to the highest ethical and moral standards in all areas of activity. The modern way of doing business and the rhythm of life, regardless of all the technology and constant development, does not guarantee anyone perfection, infallibility, or advantage in the market. The only certain thing is the increasingly rapid changes that are increasingly difficult to monitor, predict and anticipate. Acquiring new competences is a personal responsibility and obligation for all of us, and a creative approach to work, being open to new insights, suggestions and experiences, as well as an ability to come up with new ideas is something we especially appreciate – and reward. We develop and apply an effectiveness evaluation system, and change what is not good, constantly aligning processes and procedures in accordance with continuous changes. The exchange of knowledge is extremely important for the increase in our collective organisational knowledge, which is one of our greatest assets. The transfer of knowledge and experiences is encouraged by the involvement of all employees in specialised and interdisciplinary project teams, by internal mobility, and participation in various business processes that are wider than our "cubicle", i.e. our workspace. All of us, especially management, are obliged to give professional and personal help and support in our associates' learning processes.

Workers, members of the board, members of the supervisory board, and managers are expected to ensure the realization of rights and respect for the integrity and dignity of all workers without discrimination or privilege on any basis within their competencies. Any behaviour contrary to the above is against the attitudes and practices of the Company. All workers, members of the board, members of the supervisory board and managers should be respected as persons in accordance with the guaranteed rights to life, integrity and dignity.

RESPONSIBLE AND ETHICALLY BASED BUSINESS

Ethics and compliance and the Company's corporate culture based on the Code of Ethics of M SAN GRUPA d.o.o. and proprietary affiliated companies (hereinafter: Code of Ethics), are incorporated into the entire organization and apply equally to all workers, regardless of function. The Company's management, by its own actions and actions, in accordance with the Code of Ethics, by organizing training for workers and allocating resources, points to the importance of compliance and ethics in the Company. Business is based on integrity, respect for ethical and moral principles of business as well as regulations, guidelines and own policies, procedures, rules, decisions and others. Corporate governance is based on risk management, strong internal control systems and regular internal audit activities.

RESPECT FOR ALL HUMAN RIGHTS

The Company stands up for the so-called decent work, which guarantees equal rights in the workplace for all workers and especially cares for those in a disadvantageous position for any reason. It strictly condemns child labour, forced labour, unpaid overtime, and work in conditions that insult the dignity of workers and endanger health. The Company strictly prohibits and condemns any form of discrimination and abuse without discrimination and abuse based on gender, race, religion, ethnicity, sexual orientation or any other characteristic/status as a basis for discrimination to provide and ensure a sustainable work environment.

SUSTAINABLE AND SOCIALLY RESPONSIBLE BUSINESS 

Socially responsible business is deeply integrated and characterizes all business activities and decisions of the Company. The Company successfully harmonizes its own business policies, strategy and activities with accepted values. A high awareness of the current and future possible impacts of business activities on the environment and the community as a whole characterizes business. The continuous progress of business contributes to positive results of ecological, sociological and management indicators while doing no harm to the environment and society and creates added value for the Company's business partners, ensuring a sustainable business model that makes the Company a valued member of the community.

BUSINESS AND BEHAVIOUR CHARACTERIZED BY A HIGH LEVEL OF ENVIRONMENTAL AWARENESS

The common well-being of all depends mainly on the health of the environment. The accelerated pace of life and population growth accompanied by intensive consumption of goods and services contribute to global warming and other negative impacts on the environment. It is the individual's responsibility to preserve diversity and rationally manage resources. Apart from the domain of waste management, the system of responsible business emphasizes the importance of efficient use of renewable energy and other natural resources. By developing its business, the Company strives to follow the needs of the market as a system of cause-and-effect relationships, and analogously contributes directly and/or indirectly to the environmental protection system, continuously invests significant funds in order to transform the business and positively influence environmental protection. Continuous education of workers affects ensuring and encouraging behaviour that protects the environment and does not pollute it, multiple uses of packaging, and provision of services that extend the life of purchased and used products, while those that cannot be repaired are sent for recycling.

Being a leader in the markets in which it operates, for the Company, does not only mean achieving the largest market share, which in itself is significant and requires knowledge, continuous and dedicated work of management and workers, as well as significant investments in constant growth and development of business and increasing market share but for the Company, being a market leader means being the first in setting business trends, as well as being the first in the quality of established relationships and business cooperation it has and develops with its business partners, as well as the quality and range of services it provides. Export Compliance Program

The role of the M SAN Grupa d.o.o. and Affiliated Companies’ Export Compliance Program is the adherence and compliance of M SAN Grupa d.o.o. with all export control and economic sanction laws of the United States (such as the US export control laws, Export Administration Regulations (EAR)), the European Union, and other applicable jurisdictions. All parts of this Program are equally applicable to the Company and its affiliated companies.

Code of Ethics

This Code of Ethics establishes the highest standards, rules of conduct and ethical principles that all employees, partners and associates of M SAN Grupa d.o.o. and proprietary affiliated companies and all other persons, natural and legal, who are in any way connected with the Company's operations. The Code of Ethics was compiled and adopted in order to enable all interested persons to see the ethical rules that we consider crucial for our successful business operations, both inside and outside of M SAN Grupa d.o.o. We consider it extremely important that this Code be the basis of the daily behavior of all stakeholders.

Bribery and Corruption Suppression

Corruption undermines public trust, threatens national and international economic and social development and prevents fair exchange. In 2021, the Republic of Croatia adopted the Corruption Prevention Strategy for the period from 2021 to 2030, with the aim of continuing the strategic implementation and upgrading of the system of anti-corruption measures. According to the aforementioned Strategy, there is no definition of corruption in the Croatian legal system. One of the most commonly used definitions is the abuse of power, position and authority for private gain.

This policy establishes the business standards of the M SAN Group in the prevention of corruption.

Corporate Compliance and Ethics

Corporate compliance and ethics program of M SAN Grupa d.o.o. and its proprietary affiliated companies (from now on collectively: the Company) ensures successful, transparent and regulated business operations in compliance with various laws, regulations, guidelines and other rules as well as internal rules, procedures, standards, strategies, decisions of the Company and others whereby the Company with solid risk management processes and internal control systems, successfully manages risks and minimizes, if not cancels, their impact on the Company's operations and the realization of its short-term and long-term goals, and sets the framework for permissible and ethical behaviour.

The corporate compliance and ethics program indicates the Company's commitment to preventing fraud, detecting irregularities, controlling inappropriate and undesirable behaviour, and a zero tolerance rate for actions and behaviour inconsistent with or contrary to the previously indicated internal and external acts. The company regularly coordinates significant efforts to align it with its strategic, operational and financial goals.

In line with our values, M SAN's social responsibility is focused on the following three areas:

A) EMPLOYEES

M SAN Grupa is a multicultural environment. We pay special attention to the development of a unique corporate culture that respects differences and encourages cooperation.

  • A good start – this is the process of inducting new employees into our company, introducing them to the goals of the Group, its working environment, organisational structure, and approach to work, and the way of life in our surroundings. A good start ensures the efficient implementation of work tasks and facilitates integration into the working environment.
  • Career development – we invest a lot in creating opportunities for the development and improvement of our employees. We are aware that career development provides the company with the best individuals.
  • Training and development – we promote knowledge and professional development. Specialisation through seminars, courses, conferences and conventions are frequent means of professional training for our employees.
  • Ambassadors of value are the best employees selected in each calendar year.

We encourage our staff to select those individuals who have contributed the most to increasing our corporate values and meeting our goals.

B) COMMUNITY

As part of the wider community, M SAN Grupa is aware of the importance of its impact on the improvement of overall social conditions, the promotion of true values, and finally, the need to invest part of its profits in the community. In addition to a wide range of donations, we value sponsorship activities, primarily when it comes to the promotion of IT literacy and the education of children and young people through participation in Knowledge Olympics and similar events. M SAN Grupa also participates in protecting and supporting socially vulnerable groups. Based on our guiding values, our sponsorship strategy focuses on the following three groups:

  • Children and young people – support for projects promoting IT literacy and knowledge,
  • Socially vulnerable groups – raising the quality of life of the most needy, particularly children and young people.

The following criteria are important in selecting projects:

  • Overall quality of the project, its alignment with the values of M SAN Grupa and our sponsorship and donation strategies,
  • Whether supporting the project has a positive impact on company image and identity,
  • Whether the project is focused on achieving positive changes and creating permanent value in the local community or society as a whole,
  • The reputation and achievements of the project applicant.

C) ENVIRONMENT

M SAN Grupa willingly contributes to environmental protection through cooperation with M SAN EKO, one of the companies of the M SAN Grupa, whose primary business is waste management. A separate waste collection system has been established within our business areas. This allows us to reduce the amount of waste going to landfills, and at the same time raises awareness of the importance of corporate social responsibility in environmental protection.
